End User License Agreement (EULA)

1. Definitions

"Software"

means the FocusRuler desktop application, including all updates, modifications, and documentation.

"Licensor"

means FocusRuler, the owner and developer of the Software.

"Licensee" or "You"

means the individual or organization that has purchased or is evaluating the Software.

"Device"

means a single computer, workstation, or other electronic device on which the Software is installed.

"License Key"

means the unique activation code provided upon purchase that enables full Software functionality.

2. Grant of License

Subject to the terms and conditions of this EULA, Licensor grants Licensee a non-exclusive, non-transferable, perpetual license to:

2.1 Standard Personal/Commercial License

• Install and use the Software on a single Device
• Make one backup copy of the Software for archival purposes
• Transfer the Software between Devices owned by Licensee (one active installation at a time)
• Receive software updates and bug fixes for the lifetime of the license

2.2 Government Agency License

Government agencies may:

• Deploy the Software on multiple Devices within the agency subject to procurement of appropriate licenses
• Perform internal security assessments and audits
• Create internal documentation for deployment purposes
• Request technical support documentation for IT administrators

2.3 Educational/Non-Profit License

• Same rights as Standard License with discounted pricing
• Verification of educational/non-profit status required

3. Trial License

The Software may be used in trial mode for a period of 14 days with full functionality:

• No credit card or payment information required
• Access to all features during trial period
• Trial expires automatically after 14 days
• Purchase of a license key required for continued use
• One trial period per user/device

4. Restrictions

Licensee shall NOT:

• Reverse engineer, decompile, or disassemble the Software
• Modify, adapt, translate, or create derivative works of the Software
• Remove or alter any copyright, trademark, or proprietary notices
• Distribute, sell, lease, rent, lend, or sublicense the Software or License Keys
• Share License Keys with unauthorized parties
• Use the Software for any illegal or unauthorized purpose
• Attempt to circumvent license validation mechanisms
• Use the Software to develop competing products

5. Ownership and Intellectual Property

The Software is licensed, not sold. Licensor retains all right, title, and interest in and to the Software, including all intellectual property rights. This EULA does not grant Licensee any rights to trademarks or service marks of Licensor.

6. Data Privacy and Security

6.1 Data Collection

The Software is designed with privacy as a core principle:

• No User Data Collection: The Software does not collect, transmit, or store personal information or usage data
• Local Storage Only: All settings and preferences are stored locally on the Device
• License Validation: License key validation occurs only during initial activation and occasional verification
• No Analytics: The desktop application contains no analytics, telemetry, or tracking mechanisms

6.2 Government Security Requirements

For government deployments:

• The Software operates entirely offline after initial license activation
• No internet connection required for daily operation
• No external data transmission occurs during normal use
• Settings are stored in local configuration files
• Software can be deployed behind firewalls and air-gapped networks (license pre-activation available on request)

7. Updates and Support

7.1 Software Updates

• Licensee is entitled to receive all updates and bug fixes at no additional cost
• Updates may be installed automatically or manually at Licensee's discretion
• Major version upgrades are included with the lifetime license

7.2 Technical Support

• Email support available at support@focusruler.com
• Documentation and tutorials available on the website
• Priority support available for government and enterprise deployments

8. Warranty and Disclaimer

LIMITED WARRANTY: Licensor warrants that the Software will perform substantially in accordance with the accompanying documentation for a period of 30 days from the date of purchase.

DISCLAIMER: EXCEPT AS EXPRESSLY PROVIDED ABOVE, THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

Licensor does not warrant that:

• The Software will meet Licensee's requirements
• Operation of the Software will be uninterrupted or error-free
• All errors will be corrected
• The Software will be compatible with all hardware and software configurations

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

• IN NO EVENT SHALL LICENSOR BE LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT, OR CONSEQUENTIAL DAMAGES WHATSOEVER
• LICENSOR'S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY LICENSEE FOR THE SOFTWARE LICENSE
• LICENSOR SHALL NOT BE LIABLE FOR LOSS OF PROFITS, LOSS OF DATA, BUSINESS INTERRUPTION, OR ANY OTHER COMMERCIAL DAMAGES OR LOSSES

Some jurisdictions do not allow the limitation or exclusion of liability for incidental or consequential damages, so the above limitation may not apply to you.

10. Termination

This EULA is effective until terminated:

• Automatically upon material breach by Licensee
• By Licensee at any time by uninstalling the Software and destroying all copies
• By Licensor upon 30 days written notice for convenience

Upon termination, Licensee must cease all use of the Software and destroy all copies.

11. Export Compliance

Licensee agrees to comply with all applicable export and import laws and regulations. The Software may not be exported or re-exported to countries subject to trade embargoes or restrictions.

12. Governing Law and Jurisdiction

This EULA shall be governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles. Any disputes arising from this EULA shall be subject to the exclusive jurisdiction of the courts of England and Wales.

13. Entire Agreement

This EULA constitutes the entire agreement between Licensee and Licensor concerning the Software and supersedes all prior or contemporaneous oral or written communications, proposals, and representations with respect to the Software.

14. Amendments

Licensor reserves the right to modify this EULA at any time. Continued use of the Software after such modifications constitutes acceptance of the updated EULA. Material changes will be communicated via email or through the Software.
